# Private REIT Japan vs listed J-REIT comparison

## TL;DR

Private REIT (私募リート / 非上場REIT) and listed [[real-estate-finance/j-reit-market-overview|J-REIT]] can both use an investment-corporation form under the Investment Trust Act, but listing status materially changes trading and disclosure. Listed J-REIT trade on JPX under public continuing-disclosure rules. Private-REIT subscription, redemption, NAV and investor-reporting terms are fund-specific and must be read from each product's documents.

ARES surveys show a private-REIT segment, but investor eligibility, actual holders, allocation motive, valuation policy and liability fit are product- and investor-specific. ## 2. Open-ended redemption mechanics

Many Japanese private REITs are described as open-ended, but subscription and redemption mechanics differ across funds. The following rows are diligence fields, not standard terms:

Do not infer liability matching or shock capacity from the “open-ended” label. Compare each fund's notice period, cap, queue, gate, suspension, cash buffer, credit line and realized redemption history with the investor's dated liability and liquidity requirements. Listed-market trading transfers units between investors and does not itself mean the issuer absorbs inflows or outflows.

ARES segment growth does not prove a particular allocation motive. Establish motives from dated investor mandates, surveys or disclosures and separate them from fund-manager marketing.

The transparency trade-off is the central tension. Listed J-REIT analysis can be done from public sources; private REIT analysis from outside the qualified-investor circle is limited to ARES industry statistics and to sponsor-level public disclosure. ## 6. ARES member ecosystem

ARES (Association for Real Estate Securitization, 不動産証券化協会) is the industry body covering both listed J-REIT and private REIT, plus GK-TK private real-estate funds. ARES member companies include:

- Sponsors (developers, financial groups, foreign asset-management firms).
- Asset-management companies that run J-REIT and private REIT.

Both forms coexist in Japan's private real-estate market. Do not equate a GK-TK with CMBS: debt securitization, collateral, note issuance and bankruptcy-remoteness must be established from the transaction documents. Likewise, a transfer into a J-REIT is transaction-specific rather than an assumed bridge-fund pipeline.

## 8. Why this matters

- Investor allocation: JPX data does not reveal private-REIT holdings; use ARES aggregates and dated fund / investor disclosure with scope stated.
- Market-cycle reading: a listed-implied-yield versus private-NAV-yield gap is a hypothesis, not a standalone cycle signal. Align asset mix, leverage, fees, valuation date, appraiser assumptions and redemption terms before interpreting it.
- Sponsor strategy: where a sponsor manages both listed and private vehicles, verify the current entities, eligible assets, allocation policy and each actual transaction before applying the [[real-estate-finance/j-reit-sponsor-structure-conflict|sponsor conflict]] framework.
- Foreign-investor reading: determine eligibility and access from each product's documents. Listed-market flow data does not establish private-REIT access or ownership.
