## Overview

Japan acquisition finance is the debt-financing route behind M&A, LBO, MBO, sponsor acquisitions, corporate acquisitions, and tender offers. A transaction may use a buyer or sponsor, an SPC or newco, equity, senior debt, junior debt, bridge finance, hedging, security, or refinancing, but those are optional components rather than a universal sequence.

1. Identify buyer and target first; record sponsor, lender, adviser, offer-agent, and settlement-bank roles only when a dated public document names them.
2. Separate acquisition debt from ordinary working-capital facilities.
3. Pull public TOB / TDnet / EDINET documents when the target is listed.
4. Check whether lender commitments are firm, conditional, syndicated, or bridge-style.
