# Rakuten ecosystem case — FinTech earnings, mobile improvement, and the planned bank-centered reorganization

## TL;DR

Rakuten combines internet services, FinTech and mobile around a common membership and points ecosystem. FY2025 results show why investors often describe finance as a source of support for the wider group: FinTech generated ¥975.9 billion of revenue and ¥199.9 billion of Non-GAAP operating income, while the Mobile segment still recorded a ¥161.8 billion Non-GAAP operating loss. These figures support a group-level earnings contrast, not a direct tracing of cash from a particular card or bank subsidiary to a particular mobile invoice.

The architecture is therefore not “everything moves under Rakuten Bank.” Rakuten Payment, insurance and wallet businesses have explicit carve-outs in the May 2026 plan.

## 3. Mobile economics without overclaiming

Rakuten's FY2025 disclosure shows both improvement and residual risk:

- Rakuten Mobile Inc. reached ¥12.9 billion of EBITDA and the Mobile segment reached ¥28.8 billion.
- Rakuten Mobile Inc. still recorded a ¥166.0 billion Non-GAAP operating loss; the Mobile segment loss was ¥161.8 billion.
- The company said funding for 2026 bond redemptions had been secured and described a policy of primarily self-funding Rakuten Mobile from 2026 onward.

## 5. Planned bank-centered structure

If the transaction takes effect as announced, Rakuten Bank will become the direct parent of Rakuten Card and Rakuten Securities Holdings. Mizuho Bank is planned to receive a 10.52% voting interest in Rakuten Bank, while Mizuho Securities is expected to continue holding 49% of Rakuten Securities. This structure should be read using at least four separate measures:

1. common-share ownership;
2. Class A non-voting shares;
3. voting-rights ratios;
4. accounting control.

Collapsing them into one “Rakuten owns X%” number would be misleading.

## 6. Strategic interpretation

The public rationale is deeper collaboration among bank, card and securities businesses, faster decision-making and more use of the bank's deposit-gathering capability. A reasonable investor inference is that a bank-centered structure may improve capital allocation and make the FinTech group easier to finance and evaluate. It remains an inference until post-closing financial disclosures show actual funding, cost or cross-sell effects.

Likewise, mobile / FinTech bundling can lower customer-acquisition costs or increase use across services, but the results release does not prove causality for each customer or establish that points economics alone justify all mobile investment.

## 7. Monitoring points

- Confirm the October 2026 effective date and all regulatory / securities-registration conditions.
- Reconcile post-closing voting rights, non-voting shares and accounting control.
- Compare FinTech cash generation with actual parent distributions and group financing, not only segment operating profit.
- Track mobile EBITDA, operating income, capital expenditure and free cash flow separately.
- Keep Rakuten Payment, insurance and wallet exclusions visible in any “integrated FinTech” diagram.
