# NTT DOCOMO finance integration case — Monex, net banking, d Card / d Payment, and NTT DOCOMO Financial Group

## Wiki route

This entry sits under business INDEX as a public-company strategic case. Read it with NTT DOCOMO Financial Group for the entity profile, KDDI / au financial bundling case, SoftBank / PayPay financial integration case, and Rakuten Group mobile-finance bundling case for peer structures.

## TL;DR

The former version of this page described a 2024 SMBC tie-up. NTT DOCOMO's official releases instead show a different sequence: it allied with Monex Group in 2023, consolidated Monex Securities in January 2024, launched a tender offer for SBI Sumishin Net Bank in May 2025, consolidated the bank on 2025-10-01, and started **NTT DOCOMO Financial Group** on 2026-07-01. The new intermediate holding company received the d Card / d Payment businesses and shares in specified finance subsidiaries. This is a shift from a distribution-only model to a regulated multi-vertical finance group, while the bank remains jointly governed with Sumitomo Mitsui Trust Bank. ^[Sources: https://www.docomo.ne.jp/info/news_release/2023/10/04_00.html; https://www.docomo.ne.jp/info/news_release/2025/05/29_01.html; https://www.docomo.ne.jp/info/news_release/2025/12/19_00.html; https://www.docomo.ne.jp/info/news_release/2026/03/31_00.html.]

## 1. Verified integration sequence

The dates and corporate actions below come from NTT DOCOMO's transaction and reorganization releases. ^[Sources: https://www.docomo.ne.jp/info/news_release/2023/10/04_00.html; https://www.docomo.ne.jp/info/news_release/2025/05/29_01.html; https://www.docomo.ne.jp/info/news_release/2025/12/19_00.html; https://www.docomo.ne.jp/info/news_release/2026/03/31_00.html.]

| Date | Verified corporate action | Evidence boundary |
|---|---|---|
| 2023-10-04 | NTT DOCOMO announced a capital and business alliance with Monex Group and Monex Securities | The release set out the intermediate-company and governance structure |
| 2024-01-04 | Monex Securities became an NTT DOCOMO consolidated subsidiary through DOCOMO Monex Holdings | Consolidation was based on substantive-control governance, despite DOCOMO's approximately 49% voting interest in the intermediate company |
| 2025-05-29 | NTT DOCOMO announced a tender offer for SBI Sumishin Net Bank and a capital and business alliance | This replaced the old page's unsupported “bank layer supplied by SMBC” account |
| 2025-10-01 | SBI Sumishin Net Bank became an NTT DOCOMO consolidated subsidiary | Subsequent capital reorganization left DOCOMO and Sumitomo Mitsui Trust Bank with 50% voting rights each |
| 2026-03-31 | NTT DOCOMO announced the NTT DOCOMO Financial Group structure and an absorption-type company split | The release identified the transferred businesses and subsidiary shares |
| 2026-07-01 | NTT DOCOMO Financial Group began operations | This was the effective date of the company split |
| 2026-08-03 (scheduled as of the cited release) | SBI Sumishin Net Bank is to change its name to DOCOMO SMTB Net Bank | Keep this as scheduled until the effective-date announcement is checked |

## 2. What moved under the intermediate holding company

NTT DOCOMO's 2026-03-31 release identifies the d Card and d Payment businesses and the shares of DOCOMO Insurance, DOCOMO Finance, DOCOMO Monex Holdings, and the bank as transferred items. It does not support treating every d-branded customer asset as a separately transferred legal entity. ^[Source: https://www.docomo.ne.jp/info/news_release/2026/03/31_00.html.]

| Layer | Publicly identified entity or business | Status at 2026-07-01 |
|---|---|---|
| Card and payment | d Card and d Payment businesses | Transferred to NTT DOCOMO Financial Group through the absorption-type company split |
| Insurance | DOCOMO Insurance | Shares transferred to the intermediate holding company |
| Consumer finance | DOCOMO Finance | Shares transferred to the intermediate holding company |
| Securities | DOCOMO Monex Holdings / Monex Securities | The relevant holding-company shares were transferred |
| Banking | SBI Sumishin Net Bank, with the announced DOCOMO SMTB Net Bank name change | Bank shares transferred; joint-governance terms with Sumitomo Mitsui Trust Bank remain relevant |
| Loyalty and customer contact | d POINT and DOCOMO customer channels | Commercial integration is disclosed, but this table does not infer a separate legal transfer not specified in the release |

## 3. Structure: ownership is not the same as product integration

The official releases support three distinct layers that should not be collapsed into one “super-app” ownership claim:

1. **NTT / NTT DOCOMO ownership** — NTT DOCOMO remains under NTT.
2. **NTT DOCOMO Financial Group governance** — the intermediate holding company coordinates the transferred finance businesses and holdings.
3. **Licensed operating entities** — the bank, securities company, insurance entity, card and payment operations retain product-specific regulatory responsibilities.

The bank is also not a simple wholly owned DOCOMO bank. NTT DOCOMO's 2025-12-19 release describes a capital structure of 55.37% for DOCOMO and 44.63% for Sumitomo Mitsui Trust Bank, with 50% voting rights each after conversion of class shares. ^[Source: https://www.docomo.ne.jp/info/news_release/2025/12/19_00.html.]

## 4. Comparison with other telecom-linked finance structures

This table is a dated structural comparison, not a ranking of profitability or customer scale. Each row is limited to the cited group disclosures. ^[Sources: NTT DOCOMO: https://www.docomo.ne.jp/info/news_release/2026/03/31_00.html; KDDI / MUFG: https://www.mufg.jp/dam/pressrelease/2024/pdf/news-20241129-003_en.pdf; PayPay: https://about.paypay.ne.jp/en/about/; Rakuten Group: https://global.rakuten.com/corp/investors/financial/.]

| Group | Finance coordination layer | Bank position | Securities position | Evidence-based description |
|---|---|---|---|---|
| **NTT DOCOMO** | NTT DOCOMO Financial Group | Consolidated bank with joint voting governance alongside Sumitomo Mitsui Trust Bank | Monex Securities is consolidated through DOCOMO Monex Holdings | Telecom-linked intermediate holding company spanning card, payment, bank, securities, insurance and finance |
| **KDDI / au** | au Financial Holdings | au Jibun Bank under the au finance perimeter after the announced MUFG transaction | The au Kabucom securities transaction moved the securities business toward MUFG | Bank / payments-centered structure with a different securities boundary |
| **SoftBank / PayPay** | PayPay app and SoftBank Financial segment; “PayPay FG” is an analytical label | PayPay Bank is a PayPay group company | PayPay Securities is a PayPay group company | Payment-app-led distribution with separately licensed finance companies |
| **Rakuten** | Rakuten Group ecosystem | Rakuten Bank is separately listed | Rakuten Securities has a capital alliance with Mizuho Securities | Group ecosystem spanning mobile, commerce and multiple finance companies |

## 5. What the evidence supports — and does not support

The public record supports an integration thesis: DOCOMO is coordinating customer access, payments, cards, investing and banking under a dedicated finance governance layer. It does **not** by itself prove that telecom data is used for credit underwriting, that every customer can bypass financial KYC, that the bank supplies unlimited balance-sheet capacity, or that the integrated structure is more profitable than peers. Those questions require product terms, consent disclosures and segment-level financial evidence.

Similarly, the d POINT member base, mobile subscriber counts and app users are different metrics. This case does not combine them into a single “addressable customers” number.

## 6. Monitoring points

- Confirm the 2026-08-03 bank name change after its stated effective date.
- Track NTT DOCOMO Financial Group's first full-period segment disclosure and any independently reported KPIs.
- Separate legal ownership, voting control and app-level customer journeys when comparing the bank and Monex structures.
- Check whether future releases identify additional assets transferred from NTT DOCOMO rather than inferring transfer from a shared d-brand.

> confidence: **certain** for the announced and completed corporate actions through 2026-07-01. The prior SMBC-tie-up narrative was removed because it was not supported by NTT DOCOMO's official transaction history. The 2026-08-03 bank name change remains a scheduled event at this review date.
